This document sets out the game mechanics and rules which will govern how a participant (a “Participant”) in the Newton Loot Game (the “Game”) underlying the Newton Loot promotional event (the “Promotion”), which is created, sponsored and administered by Newton Crypto Ltd. (“Newton”) can generate and accrue Counts and Loot. The Game and the Promotion are both time-limited events and will begin at 12:01 A.M. Eastern Time (“ET”) on October 21, 2024 and will end at 11:59 P.M. ET on December 30, 2024. The terms and conditions of the Promotion are set out in the Promotion Rules document available here.
Counts and Energy
The Game’s basic points are referred to as “Counts“ (“Counts”) which a Participant must generate in order to participate in the Game. On any calendar day during which the Game and Promotion are running, Counts may be generated by Participants in the Game as follows:
- Participants must login to their Newton account on their mobile device and then access the Game through the Newton mobile application.
- Once in-Game, each Participant’s account will display a pet Newtie that is unique to that Participant’s account, along with an associated Energy Level Meter for that Participant’s pet Newtie.
- In order to generate Counts, Participants must press the “TAP TO GET TO WORK” button, wherein each tap of the button will add between one (1) hour (i.e., 60 minutes) and (24) hours of real-world time of “Energy” to the Energy Level Meter up to the maximum of the Participant’s Energy Level Meter. Newton reserves the right at any point in time to modify the number of hours given by pressing the “TAP TO GET TO WORK” button. This process of adding hours of Energy by pressing the “TAP TO GET TO WORK” button is referred to as “Generating Energy”.
- Each Participant’s pet Newtie’s Energy Level Meter is limited to a certain maximum of hours of Energy, tracked in hours, with an initial limit of eight (8) hours of Energy, which can be increased by achieving “Streaks” as set out below.
- Once a Participant’s pet Newtie has Energy, the passage of time will reduce that Participant’s pet Newtie’s Energy Level for each real-world minute that passes, which will be displayed in the Energy Level Meter until the Energy Level is depleted to zero.
- A Participant may return to the Game at any time when their pet Newtie’s Energy Level is not at the maximum level, and replenish their pet Newtie’s Energy Levels up to the maximum of the Energy Level Meter.
- A Participant will accumulate one (1) Count every minute that the Energy Level Meter of the Participant’s pet Newtie is above zero (0) minutes of Energy.
- The Energy Level Meter acts as a time-based countdown in that it will, absent Participant interaction, drop by one (1) minute of Energy every real-world minute of the calendar day until the Energy Level Meter reaches a level of zero (0) minutes of Energy.
- Consequently, once the Energy Level Meter of that Participant’s pet Newtie reaches zero (0) in Energy, the Participant will stop accumulating Counts.
- Participants may only accumulate whole integers of Counts, as the Game does not generate fractional Counts.
Streaks
Participants may increase their pet Newtie’s Energy Level Meter maximum limit by interacting with the game consecutively on a day-to-day basis and Generating Energy. By interacting with the Game and Generating Energy on consecutive days, Participants meeting the thresholds for consecutive days of Game interaction (referred to as a “Streak”) can extend their pet Newtie’s Energy Level Meter to the Maximum Energy Level set out opposite the Streak Level and Consecutive days of interaction, as set out in the table below:

Streaks are governed by the following rules and Game mechanics:
- The default Streak Level of a Participant is Level 0, until they meet the criteria for a higher Streak level (i.e., Streak Level 1-4) as outlined above.
- If a Participant does not Generate Energy in a calendar day, their Consecutive Day count will be reduced by one (1) day at the start of the following day.
- Once a Participant’s consecutive day count of Generating Energy has fallen below a threshold described above, their Maximum Energy Level is adjusted to match their current Streak Level, as per the Streak Table above.
Loot Mechanics
In the Game, a Participant’s pet Newtie can accumulate Loot, which can then be redeemed or exchanged by the Participant for rewards under the Promotion. The maximum amount of Loot a Participant’s pet Newtie can generate during a given period of time is determined by the following logic:
- A “Block Period” constitutes a period during which a Participant may accumulate Counts described above under “Counts and Energy”; Block Periods may be of any duration of at least (1) hour of a calendar day, up to a maximum of (24) hours, inclusively.
- An hour, or "calendar hour", shall mean a period of sixty (60) consecutive minutes beginning at the top of the hour (e.g., 1:00 PM to 2:00 PM) according to the local standard time or daylight saving time, as applicable, in the relevant jurisdiction. The hour is measured by the commonly accepted civil timekeeping methods within the designated time zone of Eastern Standard Time (or, “New York City Time”), taking into account any legal or customary adjustments such as daylight saving changes.
- A Participant is considered “active” during a Block Period if they had at least one (1) Count during that Block Period.
- Each calendar day, there is a maximum amount of Loot points that may be earned by active Participants, which is referred to as the “Daily Pool”.
- In any given calendar day, the Daily Pool is split equally across the number of Block Periods and amongst the active Participants in each of those Block periods.
- At the end of each Block Period, the Daily Pool (a “Block Reward”) is distributed proportionally to Participants who were “active” in the Game during that Block Period.
- Counting down time remaining before a Block Period comes to an end, may also be referred to as a “Loot Countdown” in-game, in reference to the issuance of Loots at the end of the Block Period.
- Once Loots are “Claimed” by the Participant manually for a Reward, they are deducted from the Participant’s Loots balance automatically.
- A Participant may only claim their entire Loots Sats points balance, not portions of their Loots points balance.
The number of Loots given to a Participant during a given Block Period is determined by the proportion of that Participant’s Counts relative to the sum of all Counts issued to all active Participants in the Game during the same Block Period according to the following formula: (the content below will be an image)
Loots and Rewards
During the Promotion Period, Rewards claimed as part of the Promotion will consist of either Bitcoin (BTC) or Satoshis, which Participants can claim through the use of Loots generated in-Game, as set out in the Game Mechanics, and which is summarized as follows:
- The Game will allow for a maximum total of 760,000 Loots per calendar day, which is divided equally among each Block Period;
- Accordingly, the Game will cap the aggregate Loots issued per Block Period to a maximum of 760,000 (the “Block Period Total Loot”);
- The Block Period Total Loot is then allocated to each “active” Participant (as defined in the Game Mechanics) of a given Block Period based on the proportion of that Participant’s Counts relative to the sum of all Counts issued to all active Participants in the Game during the same Block Period.
- Each Participant will be limited to being issued a maximum of 7,600 Loots per calendar day (the “PP Daily Max”);
- If a Participant has reached their PP Daily Max, no additional Loots will be issued to that Participant until the first Block Period of the next calendar day in which the Participant is an “active” Participant.
- After each Block Period, a Participant can redeem their accumulated and unexpired Loots (see below under “Loots Expiration”) for Rewards by following the process set out under “Redeeming Loots for Rewards” in the Promotion Rules, which also sets out the Rewards Ratio (as defined in the Promotion Rules).
The Rewards Ratio is set by Newton, in its sole and absolute discretion, and is not expected to be dependent on any external or internal factors, including, but not limited to, crypto asset market prices, a Participant’s trading activity, etc.; however, Newton reserves the right, in its sole and absolute discretion, to change the Rewards Ratio at any time and without prior notice to Participants.
At the end of the Promotion, Newton reserves the right to cancel and expire unclaimed Loots, or to credit Participants with in-app loyalty points for any unclaimed and unexpired Loots. The ratio by which a credit may be applied for unexpired and unclaimed Loots for another loyalty point currency willcan be determined by Newton in its sole and absolute discretion at the time of the end of the Promotion.
Newton Records Conclusive.
All Participants acknowledge and agree that Newton’s records of any in-Game actions, interactions, operations, Counts, Loots, will be conclusive and binding on the Participant in relation to the matters or facts therein stated and in respect to all matters involved in the administration of the Game. By participating in the Game, all Participants agree that they will be admissible in any court or tribunal, or in any actions, proceedings or disputes between Newton and the Participant, as evidence of the facts and matters recorded in them.
